The Board
of Directors
The Directors are responsible for corporate governance in the
Company. The Directors regard emphasis on good financial and
corporate governance management of paramount importance.
The
Company has adopted appropriate corporate governance practices
and intends to expand these as the Company progresses in its
development.
The Board
of Directors will be responsible for the investment decisions
of the Company and may seek counsel from experts in assisting
them in making their investment decisions.
The Board
of Directors have extensive experience and technical expertise
in the natural resources sector and international capital
markets.
The
members of the Board of Directors are noted below. The
intention is to restructure the board as required to meet the
changing requirements of the Company as it develops.
Greg
Howlett -
Non Executive Chairman
Greg Howlett
completed his architectural studies at Curtin
University
in 1977. He
subsequently travelled for several years working in the Middle
East, Europe and the
United Kingdom
before returning to
Australia
to become a partner of Howlett & Bailey Architects.
He merged
this practice with the Cox Group in 1995 and was elected
Chairman of the National Executive Committee in 1998.
The Cox Group has since become one of
Australia
’s largest architectural practices and now has expanded
throughout South East Asia and the
Middle East
.
Greg has
had an on going involvement in mining for the past 20 years
accepting directorships in both Yorath Pty Ltd and Diamond
Exploration Services Pty Ltd. Yorath
vended the Cuddingwarra deposit into Colonial resources
which in turn allowed Harmony Gold
to successfully mine 3 open cut deposits on the
property. Yorath also sold Mt Rankine to Burmine which also
mined two deposits on the property.
Diamond
Exploration Services owned and operated a mobile Heavy Media
Separation Plant that assisted in the proving of several
diamond deposits in both
Western Australia
and the
Northern Territory
.
Greg is a
past President of the Royal Australian Institute of Architects
(WA Chapter), founding Chairman of the WA Branch of the
Australian Council of Building Design Professions and Chairman
of the WA Government Research and Development Advisory Council
for the WA Building and Construction Industry.
Other honorary positions have included being a member
of the WA Government Minister for the Arts Advisory Panel,
Curtin University School of Architecture Advisory Committee,
City of
Perth Bonus Plot Ratio Panel
and the Heritage Council of WA Development Committee.
Greg is a
Life Fellow of the Royal Australian Institute of Architects, a
Member Association of Consulting Architects Australia, a
Member Property Council (previously Building Owners and
Managers Association) and a Registered Architect – Western
Australia, Victoria, Queensland and Northern Territory
Leon Ivory -
Non Executive Director
Leon Ivory
has been involved for over 35 years in
corporate finance, funds management and venture capital in New
Zealand, Australia, Europe and North America.
Leon Ivory
co-founded Western Capital as venture
capital organization, which evolved into one of Australia’s
first public biotechnology companies. During his career, he
has been a director of a number of public listed mining
companies.
He served
as a director of a number of public companies including
Auspharm International Limited, Arbuthnot Latham Bank Ltd
(London), Foreign Commerce Bank (Zurich), Cortecs PLC and VRI
BioMedical Limited.
Leon is
currently a director of Bluewater Capital Limited, engaged in
private equity investment and corporate finance. He is also a
director and Chairman of Bone Ltd, Kancer Ltd, both
biotechnology companies based in the United Kingdom.
Glyn Tonge - Non-Executive Director
Professor
Tonge is currently a director of Vida Capital Partners Limited
and a partner in Vida Capital LLP, a UK based private equity
fund investing in healthcare and technology. Prior to that, he
was a partner and Director of Baring Brothers and Co Limited,
Baring Brothers International Ltd and ING Barings, where he
was head of the global healthcare and pharmaceutical business
in corporate finance.
Prof.
Tonge holds a number of directorships in
the UK and Australia including MNL Pharmaceuticals Ltd and AVT
Bioplasma Ltd. Prof. Tonge is also chairman of the board of Southampton
Institute University College. He has been a Fellow
of the Institute of Biology since 1978, a Fellow of the Royal
Society of the Arts and a Fellow of the Royal Institution in
London. He was recently made a Freeman of the City of London
and of the Worshipful Company of World Traders.
